1. This agreement
These Terms of Service (“Terms”) are a binding agreement between you and [Your full name], an individual based in India (“mydubly”, “we”, “us”), who operates the mydubly website and service at https://mydubly.com (the “Service”).
By creating an account, buying credits or otherwise using the Service, you agree to these Terms, our Privacy Policy, Acceptable Use Policy and Refund & Cancellation Policy, which form part of these Terms. If you do not agree, do not use the Service.
These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not need a physical or digital signature.
2. What the Service does
mydubly turns spoken video and audio into transcripts, translated transcripts, subtitles (SRT and VTT) and translated voice tracks. Your original video is processed in your browser and is not uploaded to us; only the audio needed for speech recognition, translation and voice generation is sent to our servers. Where your device allows it, your browser combines the translated audio with your original picture.
The Service uses automated machine-learning systems. We may change, add or remove features, supported languages, file formats and limits (for example the maximum length of a file) at any time.
3. Who can use it
You must be at least 18 years old and able to form a binding contract under the law that applies to you. If you use the Service for a business or other organisation, you confirm you are authorised to accept these Terms on its behalf, and “you” includes that organisation.
You may not use the Service if we have previously suspended or terminated your account.
4. Your account
You need an account to process files. You can sign in with Google or with an email address and password. You agree to give accurate information, keep your password secure and tell us promptly at support@mydubly.com if you think someone else has accessed your account. You are responsible for everything done through your account.
One person may hold one account. Accounts may not be shared, sold or transferred.
5. Credits, prices and payment
The Service is prepaid. You buy credits and each job uses credits based on the length of the file and the kind of output, at the rates shown on our pricing section when the job starts. Usage is counted per started minute, and a minimum charge per file may apply. The credits a job needs are shown before you start it and reserved when it starts.
- Credits are a prepaid right to use the Service. They are not money, have no cash value, earn no interest, and cannot be transferred, resold or exchanged, except as described in our Refund & Cancellation Policy.
- Purchased credits do not expire while your account remains open.
- Free credits (for example the sign-up bonus) and bonus credits added to larger top-ups are promotional. They may be limited to certain sign-in methods, changed or withdrawn at any time, and have no cash value.
- Payments are processed by Cashfree Payments (UPI, cards and netbanking) and charged in Indian rupees. Your payment is also subject to Cashfree’s terms. Prices are shown before you pay and include any taxes we are required to collect, unless stated otherwise.
- We may change prices for the future. A change never affects credits you have already bought, but jobs you start after the change use the new rates.
- If a payment is reversed or charged back, we may remove the matching credits and, if they were already used, suspend the account until the balance is settled.
6. Your content
“Your Content” means the files and audio you submit and the transcripts, translations, subtitles and audio the Service produces from them. As between you and us, you own Your Content.
You give us a limited, worldwide, non-exclusive, royalty-free licence to copy, process, transmit and store Your Content only as needed to run the Service for you — for example to transcribe, translate and generate speech — and to keep it for the short retention period described in our Privacy Policy. We do not use Your Content to train machine-learning models, and we do not sell it.
You confirm that you own Your Content or have every right, licence and consent needed to submit it and to have it transcribed, translated and voiced — including the consent of people whose voices are recorded where the law requires it — and that doing so does not break any law or anyone else’s rights.
7. Download your results
We deliver results to your browser and then delete them from our servers: as soon as your browser has collected them, and within 30 minutes after a job ends even if it was never collected. After that we cannot recover them. Save anything you need to your own device. The Service is not a storage or backup service.
8. Acceptable use
You must follow our Acceptable Use Policy. In short: no illegal or harmful content, no content you do not have the rights to, no deceptive impersonation or non-consensual voice content, and no attempts to abuse, overload, reverse-engineer or get around the limits, credits or security of the Service.
9. Machine-generated output
Transcripts, translations, timings and voices are generated automatically and can be inaccurate, incomplete, mistimed, or sound unnatural. Names, numbers, technical terms, accents, overlapping speech and background noise are especially error-prone. Output may also unintentionally resemble other content.
Review the output before you rely on it, publish it or share it. Do not use it as the only basis for legal, medical, financial, safety-critical or other important decisions. You are responsible for how you use the output.
10. Our property
The Service, including its software, design, text, graphics, logos and the mydubly name, belongs to us or our licensors and is protected by law. These Terms give you a personal, revocable, non-exclusive, non-transferable right to use the Service as offered; they do not give you any other rights in it. If you send us feedback or ideas, we may use them without any obligation to you.
11. Third-party services
The Service relies on third parties, such as cloud hosting and GPU providers, Google Sign-In and Cashfree Payments. Their services are governed by their own terms and we are not responsible for them. We may change the providers we use.
12. Availability and changes
We work to keep the Service running, but we do not guarantee it will be available, uninterrupted, timely or error-free. Jobs can fail, be delayed or be cancelled — for example during maintenance, outages or periods of heavy demand. When a job fails, is cancelled or expires before finishing, its reserved credits are returned automatically. We may stop offering the Service; if we do, we will give reasonable notice where we can and refund unused purchased credits as described in our Refund Policy.
13. Suspension and termination
You can stop using the Service at any time and ask us to close your account by writing to support@mydubly.com.
We may suspend or close your account, cancel running jobs, or remove credits without refund if you break these Terms or the Acceptable Use Policy, if your use creates legal risk or harms the Service or others, if we detect fraud or abuse of free or bonus credits, or if the law requires it. Where it is reasonable and lawful, we will tell you why. Sections that by their nature should survive termination (including Your Content licence for retention, disclaimers, limitation of liability, indemnity and governing law) survive.
14. Disclaimers
To the fullest extent the law allows, the Service and all output are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, quality, non-infringement and uninterrupted or secure operation. Nothing in these Terms excludes any right you have under consumer protection law that cannot be excluded.
15. Limitation of liability
To the fullest extent the law allows:
- we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, content, goodwill or business opportunity, however caused; and
- our total liability for all claims relating to the Service or these Terms is limited to the amount you paid us for credits in the 12 months before the event giving rise to the claim, or ₹1,000 (or US$12), whichever is greater.
These limits do not apply to liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
16. Indemnity
You agree to compensate and defend us against any claims, losses, damages, penalties and reasonable costs (including legal fees) arising from Your Content, your use of the output, or your breach of these Terms or of any law or third-party right.
17. Governing law and disputes
These Terms are governed by the laws of India. Before starting any formal proceedings, please contact us at support@mydubly.com so we can try to resolve the issue informally within 30 days.
Subject to that, the courts at [Your city], India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. If you are a consumer, you may also have the right to bring a claim in the courts or consumer forums where you live.
18. Changes to these Terms
We may update these Terms from time to time. We will change the “Last updated” date above and, for significant changes, tell you by email or on the website before they take effect. If you keep using the Service after changes take effect, you accept the updated Terms. If you do not agree, stop using the Service and you may ask for a refund of unused purchased credits.
19. General
These Terms, together with the policies they refer to, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver. You may not transfer your rights under these Terms; we may transfer ours to a successor operating the Service. Neither of us is liable for delays caused by events beyond reasonable control.
